Harold N. Kamine - Chief Executive Officer

Since 1983, Hal Kamine’s background in the power business coupled with a strong entrepreneurial spirit helped bridge his vision both in the independent power industry and the telecommunications industry in the United States.

As CEO and owner of Kamine Development Company, predecessor to KDC Solar, Hal developed, built, and owned seven unregulated non-utility power generation projects located in New York and New Jersey between 1985 and 2000. These projects totaled 600 megawatts and represented a capital investment of more than $800 million. Hal pioneered the independent power business from its inception in the early 1980s until 1998. In 1998, Hal was one of two industry leaders selected by the independent power industry to negotiate a settlement with Niagara Mohawk, one of New York’s largest utilities. This settlement resulted in the sale of all of KDC's New York State power projects. At the time this sale was the largest voluntary utility/independent power producer restructuring in the United States.

Since Hal was deeply involved in the deregulation of the electric as well as the natural gas industries, he foresaw the deregulation of the telecommunications industry. With that in mind, he formed KMC Telecom in 1995 which began as a Competitive Local Exchange Carrier (“CLEC”) prior to the passage of the Telecom Act of 1996. The enactment of this law opened an even greater opportunity for Hal's vision of a unique telecom company that customized services to its customers to be realized through an open and competitive marketplace. KMC Telecom eventually deployed over $2 billion in capital, had over 1,500 employees and revenues of approximately $600 million per year. KMC Telecom became one of the country's largest independent CLECs prior to its sale in 2005.

In 2007, Hal saw the same opportunity in the renewable energy area that he capitalized on in the independent power business. He enlisted many of the senior management and advisors of the original Kamine Development Company to pursue this new venture through KDC Solar.

Hal graduated summa cum laude from Lafayette College with a Bachelor of Science degree in Mechanical Engineering. He is a Registered Professional Engineer in the State of New Jersey.

Alan M. Epstein – President and COO

Alan Epstein has worked with Hal Kamine for over 25 years in the energy and telecom businesses. Until accepting the position of President and COO at KDC Solar, Alan was a partner in the New York office of Sidley Austin LLP. He has advised clients in financing and structuring more than $15 billion of energy, telecommunications, alternative and renewable energy, and infrastructure projects in the United States and abroad. In the energy area, Alan has represented clients in power generation projects including cogeneration facilities, coal-fired, gas-fired, biomass, wind, solar, and waste-to-energy facilities, LNG and pipeline projects, biodiesel projects, and transmission lines.

In addition to working with energy and telecom companies for Hal Kamine, Alan represented a variety of clients including GE Energy Financial Services, CIT, GE Commercial Aircraft Services, AIG Highstar, SNC Lavalin, TransCanada Pipelines, Caisse de Depot, US Eximbank, Mission Energy, Cogentrix, and the City of San Juan.

Alan has a Juris Doctor degree from Syracuse University College of Law and a Bachelor of Arts degree in Political Science from Long Island University, where he received a scholarship and was captain of the swimming team.

Thomas P. Lynch - Executive Vice President

Tom Lynch joined KDC Solar in 2010 as Executive Vice President. Tom has over 20 years of power investment banking experience at Salomon Brothers, Goldman Sachs, and Deutsche Bank.

Tom’s experience includes over $40 billion of financing, IPOs, commodity linked transactions, and a number of merger and acquisition transactions. His list of clients included Calpine Corp, NRG Energy, PPL Corp, Constellation Energy, Covanta Energy, RRI Energy, LS Power, Energy Capital Partners, and many others. While at Salomon Brothers, Tom acted as financial advisor and placement agent to Kamine Development Corp. on the financing of its New York State cogeneration portfolio. Prior to working on Wall Street, Tom worked at AT&T Capital and Westinghouse Financial Services with a focus on the acquisition of limited partnership interests in the unregulated power sector and leverage lease interests in the aircraft sector.

Tom has a Bachelor of Science degree in Accounting from University of Scranton and a Master’s in Business Administration with a concentration in Finance from Southern New Hampshire University. Tom currently serves on the board of PlanSmart NJ and is Chief of the Far-Hills Bedminster Fire Department.

William H. Stewart, CFA - Chief Financial Officer

Bill joined the KDC Solar team in 2012 as its Chief Financial Officer. Mr. Stewart has over 20 years of investing and operating experience. Concurrent with his role at KDC, Bill is a Managing Partner of Navigator Partners LLC, a private equity firm focused on investing in profitable businesses in the lower middle market. Prior to his position with Navigator, Mr. Stewart was the Chief Financial Officer and a Director of KMC Telecom, the country's largest privately held integrated communication provider. During his tenure at KMC Telecom, he was responsible for its successful operating turnaround, financial restructuring and eventual sale to Centurylink. Prior to KMC he was a Managing Director at Nassau Capital, a private equity and real estate investment firm responsible for investing $2.5 billion of Princeton University's $10 billion endowment. At Nassau Capital, Bill led growth equity investments as well as buyouts and recapitalizations in the communications, healthcare, and transportation industries.

Mr. Stewart is a director of KDC Solar LLC and the Cornerstone Franchise Group. Bill serves as a Trustee of the Gray Matters Brain Cancer Foundation and is a Chartered Financial Analyst (CFA). Bill was also an Adjunct Professor at the Villanova School of Business teaching courses covering the topics of entrepreneurship, private equity transactions and alternative investments. He has earned M.B.A. and B.S. degrees from New York University and Villanova University, respectively.

Management Team

Andy M. D’Amico - Senior Vice President

Andy D’Amico rejoined with Hal Kamine at KDC Solar as a Senior Vice President. Andy, who has over 40 years of experience in the conventional power market, is the founder and co-owner of Reunion Power LLC, which was established in 2000 to respond to the emerging renewable energy market and the ongoing conventional power market. He has worked in the power generation business his entire career with multiple sources of fuel including hydro, nuclear, gas, biomass, wind power, and solar. He is also experienced in power project engineering, project development, construction, and project operations.

From 1997 to 2000, prior to founding Reunion Power, Andy was President of Kamine International Power Corp. and led day-to-day activities at KDC as its Executive Vice President and General Manager. Before working with the Kamine companies, Andy held engineering and management positions for international engineering and construction companies such as Ebasco Services Inc., Burns and Roe, Sanderson & Porter, CEA, and Thyssen Environmental Industries.

Andy holds a Bachelor of Science degree in Mechanical Engineering from Villanova University and a Master’s in Business Administration in Management from Manhattan College.

David N. Pannullo - Senior Vice President of Finance

David Pannullo joined KDC Solar in 2010 as Vice President of Finance. In January 2014 David became Senior Vice President of Finance. David has over 20 years of experience in corporate finance and middle-market banking including the communications, information and technology services, and financial services sectors.

Before joining KDC Solar, David was a director and middle-market banker at CIT Group focusing on senior secured debt transactions. Prior to CIT Group, he was the Director of Strategic Planning at KMC Telecom. Previously, he held senior financial positions at Prudential Financial and SunAlliance Group USA.

David has a Bachelor of Science in Finance from Marist College. He is actively involved in Bedminster Township sports programs as well as the United States Over Thirty Baseball league.

Matthew E. Kamine - Senior Vice President - Development and Engineering

Matthew Kamine joined KDC Solar in 2008 as Director. Since 2011, Matthew has been Vice President overseeing the development efforts of the company. In February 2014, Matthew became Senior Vice President-Development and Engineering and will oversee and manage the project managers and support the project development team to streamline the development, engineering, and construction. Matthew’s experience in project development efforts, including negotiating PPAs and leases along with understanding the economic impacts of engineering and permitting for solar project allows him to support the project managers and development teams to build the KDC project pipeline.

Matthew graduated with a B.A. in Engineering with a minor in Economics from Lafayette College in 2007. While attending Lafayette, he was a 4 year letter winner on the baseball team and was named captain his senior year. He was a 1st team All-League player as a junior and senior as well as earning 1st team Jewish All American honors his senior year.

Rob Simalchik – Vice President of Operations and Construction

Rob joined KDC Solar in 2010. Rob has over 30 years of diversified experience in the construction and operation of more than 600 million dollars of cogeneration, peaker, island, biomass, wind power and organic process projects. Projects range in size from 500Kw to 183Mw. Rob has constructed and developed operation plans for continuous and batch organic process plants and has utilized his hands on experiences to provide solutions in project engineering and business development. Most recently, Rob was the Owner’s Representative to Reunion Power for the fast track construction of the Idaho Wind Partners Project. This project, the largest in the state, doubled the total state output of wind energy. Prior to Reunion Power, Rob held management positions in a power generation start-up at Burns & Roe.

Rob holds a Bachelor of Science in Business Management from Fairfield University. Active in his community both in government and athletics, Rob resides in Medford, NJ with his wife, and 2 teenage children.

Christopher C. Sawitsky – Vice President of Engineering

Chris joined KDC Solar as Vice President of Engineering in 2013. Chris brings over 25 years of experience in the field of consulting/design engineering, having managed multi-disciplinary teams on a wide range of projects in various commercial and institutional building markets. Before joining KDC, Chris served as Vice President of Birdsall Services Group, Inc.(2002-2013) providing technical team leadership inclusive of client management, design oversight, project financial performance, and construction administration services. Prior to that, Chris spent 9 years(1993-2002) working as a project manager and senior electrical engineer in the Washington, DC metro area markets for both Syska & Hennessy and Vanderweil, two nationally prominent MEP engineering firms. He also spent time as a senior sales engineer with Liebert Corporation in Reston, Virginia, a manufacturer of critical environment power distribution and cooling equipment. An electrical engineer by discipline, Chris started his career in NYC with Syska & Hennessy(1987-1993) and since that time has developed technical expertise across several markets in the built environment, and has managed projects with construction budgets in excess of $200mm.

Chris holds a Bachelor of Engineering degree in electrical engineering from Manhattan College. Chris enjoys life at the Jersey Shore and resides in Brielle, NJ with his wife and 3 sons.

Joshua E. Smith – Vice President of Project Development

Joshua Smith joined KDC Solar in 2010 as Director of Development. In February 2014, Joshua became Vice President of Project Development, overseeing the company’s New Jersey development and project entitlement operations. Joshua also has over 7 years of experience managing large commercial, industrial and institutional development projects in the United States.

Prior to joining KDC Solar, Joshua worked for an ENR Top 5 Green Contractor, where he held management positions on projects totaling upwards of $150 million. Joshua focuses on land use, development, permitting and project management and has specialized in utility scale electrical distribution projects.

Joshua received a Bachelor’s Degree in Engineering Studies from Lafayette College in 2007, where he received an industry award for his work in heavy construction. Joshua earned a Masters of Engineering in Project Management from the University of Maryland in 2010.
